Terms of Service

Effective date: April 1, 2026

1. Acceptance of Terms

By accessing or using Meridian ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Meridian is an AI-powered revenue intelligence platform that provides lead management, campaign automation, subscriber management, visitor identification, and analytics tools for businesses. Features vary by subscription plan.

3. Accounts

You must create an account to use most features of the Service. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately at themeridianteamlmt@gmail.com if you suspect any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans and Billing

Meridianoffers the following subscription tiers: Starter (free), Pro ($215 USD/month ≈ $299 CAD), and Enterprise ($573 USD/month ≈ $799 CAD). Paid plans are billed monthly in USD. All payments are processed securely via Stripe. Prices may change with 30 days' notice. Refunds are provided at our discretion and subject to applicable Québec consumer protection laws including the Consumer Protection Act (CQLR c P-40.1). Downgrading your plan takes effect at the start of the next billing cycle.

5. Acceptable Use

You agree not to use the Service to: (a) send unsolicited commercial messages in violation of applicable law (including CAN-SPAM, CASL, and GDPR); (b) upload or transmit content that is unlawful, harmful, or violates third-party rights; (c) attempt to gain unauthorised access to any portion of the Service or its infrastructure; (d) use the Service for any fraudulent or deceptive purpose; (e) resell or sublicense the Service without our written consent. We reserve the right to suspend or terminate accounts that violate these policies without refund.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of data as described in the Privacy Policy. You represent and warrant that any personal data you upload to the Service was collected in compliance with applicable law and that you have the right to share it with us for processing.

7. Email and Outreach Compliance

You are solely responsible for ensuring that all outreach campaigns sent throughMeridian comply with applicable laws, including CAN-SPAM, CASL, GDPR, and any local regulations. This includes maintaining valid opt-out mechanisms, honoring unsubscribe requests promptly, and not sending messages to individuals who have not given lawful consent. Meridian may suspend accounts that generate high spam complaint rates.

8. Intellectual Property

The Service, including all software, design, text, and graphics, is the exclusive property of Meridian and its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent. You retain ownership of any content you upload to the Service.

9. Third-Party Services

The Service integrates with third-party services including Stripe (payments), Resend (email delivery), and Supabase (database). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability or conduct of third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERIDIAN AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold Meridian, its officers, directors, employees, and agents harmless from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may export your data prior to termination by contacting us at themeridianteamlmt@gmail.com. After termination, we will retain your data for 30 days before permanent deletion unless otherwise required by law.

14. Governing Law & Jurisdiction

Meridian is operated from Montréal, Québec, Canada. These Terms are governed by and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Québec, District of Montréal. Users who are consumers resident in Québec benefit from the mandatory provisions of the Consumer Protection Act (CQLR c P-40.1) and Act Respecting the Protection of Personal Information in the Private Sector (Law 25).

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Effective date" at the top of this page and, where appropriate, by email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms.

16. AI-Assisted Outreach — User Responsibility

Meridian is a tool. It generates outreach content, follow-up sequences, and strategic recommendations using artificial intelligence. These outputs are provided as suggestions only. You are solely responsible for: (a) reviewing all AI-generated content before sending; (b) ensuring that outreach content is accurate, truthful, and compliant with applicable laws; (c) the outcomes of any outreach conducted through the platform, including any legal claims arising from messages sent to third parties; (d) maintaining lawful consent for all contacts you communicate with through the Service.

Meridian does not guarantee specific revenue outcomes, lead conversion rates, or business results. All case studies, examples, and projections referenced in our marketing materials are illustrative and not guarantees of performance. Your results will depend on factors outside our control including your market, offer, and execution.

17. Privacy Officer

As required by Québec Law 25, Meridian has designated a Privacy Officer responsible for overseeing compliance with privacy obligations. The Privacy Officer can be contacted at: themeridianteamlmt@gmail.com. All data access requests, correction requests, and deletion requests will be handled by the Privacy Officer within 30 days of receipt.
